NDA & Subcontracting
How does the NDA work in a white-label subcontracting context?
The mutual NDA covers the confidential information exchanged between the parties. The subcontractor undertakes not to disclose the agency's technical, commercial or client data. In return, the agency keeps the subcontractor's rates and methodology confidential.
Who owns the intellectual property of code developed white-label?
By default, the code and deliverables are owned by the Contractor (the agency). The subcontractor retains the right to reuse methodologies, patterns and generic know-how not specific to the project.
How does invoicing work in a subcontracting relationship?
The subcontractor invoices the agency directly for the work according to the terms of the agreed SOW (Statement of Work). The agency independently manages the commercial relationship with the end client.
How does the referral fee work and when does it end?
The referral fee accrues monthly on the referred client's retainer for a period agreed case by case, between 12 and 24 months from the start of the engagement. The exact terms are in the downloadable document.
